Welcome to Ion Compass, LLC (“Ion Compass,” “we,” “us,” or “our”). These Terms of Service govern your use of our services and website.

By engaging Ion Compass for services, you agree to these Terms.

1. Description of Services

Ion Compass provides healthcare navigation and advocacy services to assist clients in understanding and navigating complex healthcare systems, insurance matters, and administrative processes.

Ion Compass does not provide medical, legal, or clinical advice.

2. No Medical Advice

Ion Compass is not a healthcare provider.

All information provided through our services is for informational and advocacy purposes only and should not be interpreted as medical advice, diagnosis, or treatment.

Clients must consult licensed healthcare professionals regarding medical decisions.

3. No Emergency Services

Ion Compass does not provide emergency medical services or urgent healthcare assistance. Clients experiencing a medical emergency or urgent health concern should immediately contact their healthcare provider, call emergency services (such as 911), or seek care from a qualified medical professional.

Ion Compass services are not intended to replace professional medical care or emergency response.

4. Client Responsibilities

Clients agree to:

• Provide accurate and truthful information

• Remain responsible for their own healthcare decisions

• Maintain communication with their healthcare providers

• Review documents and communications provided by Ion Compass

Ion Compass cannot guarantee specific outcomes related to healthcare matters, insurance claims, billing disputes, or medical decisions. Decisions regarding medical care, insurance coverage, and administrative matters are made by healthcare providers, insurers, and other third parties and are outside the control of Ion Compass.

Clients remain responsible for all medical decisions and should consult licensed healthcare professionals regarding diagnosis, treatment, and medical care.

5. Scope of Services

Services provided by Ion Compass are limited to the scope of services agreed upon at the time of engagement. Requests for additional services beyond the agreed scope may require additional fees or a separate agreement. Ion Compass reserves the right to decline requests that fall outside the agreed scope of services.

6. Fees and Payment

Ion Compass operates on a fee-for-service basis.

All fees must be paid according to the service agreement prior to the commencement of services unless otherwise agreed in writing.

Fees may include:

• initial/needs assessment

• hourly consulting

• project-based services

• monthly retainers

7. Refund Policy

Due to the nature of consulting services, fees are generally non-refundable once services begin.

If Ion Compass terminates services, a refund may be issued for any unused portion of prepaid services at our discretion.

8. Confidentiality and Information Handling

Ion Compass treats client information with strict confidentiality and implements reasonable administrative, technical, and organizational safeguards designed to protect sensitive information.

In the course of providing advocacy and navigation services, Ion Compass may receive or review personal, medical, insurance, or other sensitive information provided by clients or obtained on their behalf with the client's written authorization.

Ion Compass may assist clients in communicating with healthcare providers, insurance companies, and other relevant parties as an authorized representative of the client when appropriate written authorization is provided.

Ion Compass uses client information solely for the purpose of providing advocacy and navigation services and does not sell or disclose such information except as necessary to perform those services or as required by law.

Clients agree to transmit documents through secure channels designated by Ion Compass when possible. Clients acknowledge that electronic communications, including email and other digital communications, may carry inherent security risks.

Clients remain responsible for determining what information they choose to share with Ion Compass. Ion Compass cannot guarantee the security of information transmitted electronically, and clients assume responsibility for any information they choose to transmit through such channels.

9. Acceptable Conduct

Clients agree not to engage in abusive or inappropriate behavior toward Ion Compass staff.

Prohibited conduct includes:

• harassment

• threats

• abusive or discriminatory language

• sexual misconduct

• fraudulent activity

Ion Compass reserves the right to terminate services immediately if such conduct occurs.

10. Termination of Services

Ion Compass reserves the right to suspend or terminate services at any time, including but not limited to:

• abusive conduct

• non-payment

• misrepresentation of information

• conduct that interferes with our ability to provide services.

11. Limitation of Liability

To the maximum extent permitted by law, Ion Compass shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services.

The total liability of Ion Compass shall not exceed the amount paid by the client for services in the preceding three months.

12. Indemnification

Clients agree to indemnify and hold harmless Ion Compass from any claims arising from their use of services or reliance on information provided.

13. Dispute Resolution

Any dispute arising from these Terms shall be resolved through binding arbitration in the State of California.

Clients agree to waive any right to participate in class action litigation.

14. Governing Law

These Terms shall be governed by the laws of the State of California.

15. Changes to Terms

Ion Compass may update these Terms at any time. Continued use of services constitutes acceptance of updated Terms.
